Introduction

Welcome to Prodocto, a product owned by Tolu Akindele. By using Prodocto, you agree to these Terms of Service. If you do not agree, please do not use our services. We reserve the right to modify these terms at any time, and such changes will be effective immediately upon posting.

Services Provided

Prodocto offers a software application designed to optimize kitchen operations by efficiently managing food preparation and waste tracking. Our application is intended for use by restaurant owners and their staff.

User Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your account and password. You are responsible for all activities that occur under your account.
  • Prohibited Uses: You agree not to misuse our services. This includes not interfering with our services or trying to access them using a method other than the interface and the instructions provided.
  • Feedback and Suggestions: You agree that any feedback or suggestions you provide to improve Prodocto become the property of Prodocto and do not entitle you to any ownership or compensation.

Intellectual Property

All content provided by Prodocto, including software, logos, and trademarks, is the property of Tolu Akindele. You are granted a limited license to use our services but not to copy, modify, or distribute any content without explicit permission.

Equipment Rental

  • Provision of Equipment: As part of your subscription, Prodocto may provide rental equipment, including but not limited to tablets, cases, and clamps ("Equipment").
  • Use of Equipment: You agree to use the Equipment solely for its intended purpose in conjunction with Prodocto's services. You are responsible for maintaining the Equipment in good condition.
  • Maintenance and Damage: You agree to take reasonable care of the Equipment. Any damage or loss of the Equipment will be your responsibility. You may be charged for repairs or replacements in case of damage or loss.
  • Return of Equipment: Upon termination or cancellation of your subscription, you must return the Equipment in good working condition within 30 days. Failure to return the Equipment may result in additional charges.

Privacy

Your use of Prodocto is subject to our Privacy Policy, which outlines how we collect, use, and protect your information.

Termination

We reserve the right to terminate or suspend your account at any time, without prior notice, for conduct that we believe violates these terms or is harmful to other users of Prodocto.

Governing Law

These terms are governed by the laws of the jurisdiction of British Columbia, Canada. Any legal disputes will be resolved in the courts of that jurisdiction.

Changes to the Terms

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting. Your continued use of Prodocto after the changes are posted constitutes your acceptance of the new terms.

Service Level Agreement (SLA)

Prodocto aims to provide a reliable and uninterrupted service. However, we do not guarantee 100% uptime. Scheduled maintenance or unforeseen outages may occur. We will strive to notify users in advance of any planned downtime. Prodocto is not liable for any losses or damages resulting from service interruptions.

Data Ownership

You retain ownership of all data you input into Prodocto. However, by using our services, you grant Prodocto a non-exclusive, royalty-free license to use, aggregate, and analyze this data to improve our services and develop new features. Aggregated data that does not identify you may be used for our business purposes, including sharing with third parties.

###Integrated Platforms Prodocto may integrate with third-party platforms to provide additional functionality. By using these integrations, you agree to the terms and conditions of the third-party platforms. Prodocto is not responsible for the availability or performance of these integrations. By connecting your account to third-party platforms such as HotSchedules or Clearview, you grant Prodocto permission to access and use the data from these platforms to provide and improve our services.

Compliance with Laws

You agree to comply with all applicable laws and regulations in your use of Prodocto. This includes, but is not limited to, employment laws, health and safety regulations, and data protection laws. Prodocto is not responsible for your compliance with such laws.

Dispute Resolution

Any disputes arising out of or related to these Terms of Service or the use of Prodocto shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in the jurisdiction where Tolu Akindele resides, and the decision of the arbitrator will be final and binding. Each party will bear its own costs and fees for the arbitration.

Limitation of Liability

To the maximum extent permitted by law, Prodocto and Tolu Akindele are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorized access to or use of our services and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from our services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
